The Marcus Corporation Announces the Pricing of Common Stock Offering by Selling Shareholder

MILWAUKEE--(BUSINESS WIRE)--Feb. 5, 2019-- The Marcus Corporation (NYSE: MCS) (the “Company”) today announced the pricing of a registered public offering of 1,500,000 shares (the “Shares”) of the Company’s common stock, $1.00 par value per share, held by Southern Margin Loan SPV LLC (the “Selling Shareholder”) at a public offering price of $40.25 per share. The Company issued the Shares to the Selling Shareholder in connection with the closing of the Company’s acquisition of the Movie Tavern in-theatre dining business (the “Movie Tavern Business”) on February 1, 2019. The offering is expected to close on or about February 6, 2019, subject to customary closing conditions. The underwriter will have a 30-day option to purchase up to an additional 225,000 shares from the Selling Shareholder. The Company will not receive any proceeds from the offer and sale of the Shares by the Selling Shareholder in the offering. Goldman Sachs & Co. LLC is acting as the underwriter for the offering.
